Terms and Conditions

Article 1: Who am I?

Transparant Samenwerken is a sole proprietorship run by Roy Vader, registered at Dijkzichtlaan 219, 2025 EP Haarlem. Chamber of Commerce: 42022056. VAT: NL005002063B79.

Article 2: Applicability

These terms apply to all quotes, assignments, and agreements between Transparant Samenwerken and the client, unless otherwise agreed in writing.

Article 3: Quotes and pricing

  • Quotes are valid for 30 days unless stated otherwise.
  • Transparant Samenwerken falls under the Dutch small business scheme (KOR) and does not charge VAT.
  • Additional work is always discussed in advance and confirmed in writing.

Article 4: Payment

  • Invoices must be paid within 14 days of the invoice date.
  • For projects above 500 euros, a 50% deposit is required upon assignment.
  • If payment is not received on time, I reserve the right to pause work until payment has been received.

Article 5: Cancellation and duration

  • Monthly services (maintenance, ad management, chatbot hosting) can be cancelled with one calendar month's notice.
  • One-time projects (websites, chatbot setup) are closed after delivery and approval.

Article 6: Satisfaction guarantee

If you are not satisfied after the first month of an ongoing service, I will refund the monthly fee you paid. This does not apply to one-time projects where delivery has already taken place and been approved.

Article 7: Liability

  • Transparant Samenwerken is not liable for indirect or consequential damages.
  • Liability is in all cases limited to the invoice amount of the relevant assignment.
  • I am not responsible for outages or changes at third parties (Google, Meta, Cal.com, Tally, etc.).

Article 8: Intellectual property

Upon full payment, the rights to the delivered work (websites, texts, automations) transfer to the client. I retain the right to reference the work as a portfolio item, unless the client objects.

Article 9: Confidentiality

Both parties treat confidential information exchanged during the collaboration as confidential and do not share it with third parties without consent.

Article 10: Governing law

All agreements are governed by Dutch law. Disputes are submitted to the competent court in the district of Noord-Holland.
